Whistle-blowing system
  • Purpose
    According to the Company’s Ethical Corporate Management Best Practice Principles and Corporate Governance Best Practice Principles, the Company establishes this system to guide the staff of the Company to conduct a high moral standard and prevent the illegal behaviors in operation to build a well communicated whistle-blowing channel internally and externally and to establish the independence of the Whistle-blowing system responsible unit and to protect the confidentiality and safety of the related files that whistle blowers so provided.
  • The scopes of the whistle-blowing.
    1. Violet the Company’s financial system that impacts the accuracy of the financial reports such as the high - level managers or employees directly or indirectly take actions to influence the authenticity and accuracy of the financial reports.
    2. Any actions that violet the applicable laws and regulations.
    3. Any actions that violet the Company’s policies, systems and ethical standards.
    4. Encroachment of the Company’s assets.
    5. The receiving of improper interests externally.
    6. Any kinds of malpractices in management level or employees.
    7. Any actions that endanger the Company’s interests.
  • The channels of the whistle-blowing.
    Internal or external whistle blower can whistle-blow by mails, e-mails and telephones to file a whistle-blowing case, and the whistle blowers shall file a case with his / her name , otherwise it will be dismissed.

  • The process of handling the whistle-blowing cases.
    1. Registration:
      • (1)The persons in charge to take the whistle-blowing cases: Print the e-mails out once the case is filed by e-mail and shall file the related documents; the mails and letters shall be kept in file once the case is filed by mails.
      • (2)The persons in charge shall conscientiously analyze the case to distinguish the condition.
      • (3)For the unfit case, the persons in charge shall record the causes and report to General Manager for his approval then file the case.
    2. Take into action:
      • (1)The fitful case shall be appointed by General Manager for the case handling person and starts the investigation of the case.
      • (2)The whistle blower has the rights to understand the process of the case and bring any questions to persons in charge.
    3. Investigation:
      • (1)The investigation team shall adopt direct or indirect measures in according to the conditions of the case.
      • (2)The persons in charge shall decide whether to disclose the initial report to the whistle blower depending on the conditions of the case and whether to request further descriptions from the whistle blower or extra information. The person in charge shall avoid directly meeting with the whistle blower to lower down the risk of exposure unless it’s necessary.
      • (3)The persons in charge and the related division management shall conduct the investigation of the case and seek for external assistance if necessary.
    4. Reporting:
      • (1)The investigation team shall deliver a report upon the facts of the cases and transfer to Human Resources Office if necessary for further handling. The unit in charge shall report to Audit Committee and Board of Directors of the whistle-blowing cases, its handling process and the following plan for correction.
      • (2)For the serious cases which violet the related laws and regulations, it shall be transferred to government authority.
  • The regulations of handling the whistle-blowing cases. (summarized)
    1. The investigation team shall keep the information of the whistle blowers in confidentiality and shall not expose the identity of the whistle blowers. Unless getting the consent of the whistle blowers, the investigation team shall not disclose the name, the division and the contact information of the whistle blowers under any circumstances. The persons in charge who violet the related confidentiality obligation or conduct unfaithfully shall face the discipline according to the condition of the violation.
    2. The investigation shall conduct the excuse system. If the persons in charge is relatives or friends of the violators of the whistle-blowing, or the persons in charge , his relatives or friends are persons in interest of the violators of the whistle-blowing, the persons in charge shall excuse himself, and the whistle blowers shall have the right to ask the above persons to excuse himself.
    3. The whistle blowers shall notify the title and name, division and the violation facts of the violators of the whistle-blowing and provide the evidences and shall not assign others to file a case, shall not use the system to revenge people. The false charge shall be handled by the related laws and regulations.
  • The appeal system for the violators of the whistle-blowing.
    1. For the persons who is whistle-blowing as a violator shall have the appeal channel if he has doubt for such case. The unit for the appeal process is the Company’s independent Directors(independent@weikeng.com.tw)。
    2. For the appeal case it has been successfully appealed by the Company’s independent Directors, the Company shall revoke the case and its disposal and shall disclose the outcome in the Company’s internal website.
  • Whistle-blowing incentive measures:
    1. If it is proven to be fact for the whistle-blowing cases and the Company’s interest is preserved by such whistle-blowing, the General Manager shall reward the whistle-blower by cash upon the importance of the cases.
    2. To reward the staff who is in assistance of the huge whistle-blowing cases, the General Manager could reward the above staff by cash for their effort.
    3. The above incentive measures shall be awarded by wire-transfer and shall keep confidential of such measures.
